These Terms of Service ("Terms") are a binding legal agreement between you ("you," "your," or "Customer") and EGC Grading ("EGC," "we," "us," or "our") governing your use of our website, our card grading and authentication services, and any related services we offer (collectively, the "Services").
By creating an account, submitting cards for grading, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Description of Services
EGC provides third-party grading, authentication, and encapsulation services for sports cards, trading card games ("TCGs"), and other collectible cards submitted by customers. EGC assigns a condition-based grade to submitted cards according to its own internal grading standards and, where a card is graded, seals the card in a protective holder along with a label identifying the grade assigned.
Our website is designed, built, and hosted using Framer (framer.com), a third-party website building and hosting platform. Framer, as our website infrastructure provider, may independently process certain technical and usage data as part of operating the site. Section 3 of our Privacy Policy has more detail on Framer's role.
EGC's grading standards, criteria, and internal processes are proprietary and may be updated, revised, or applied differently over time at EGC's sole discretion. EGC makes no representation that its grading standards are identical to, consistent with, or interchangeable with the standards of any other grading company.
2. Eligibility and Accounts
You must be at least 18 years old to submit cards or create an account. By using the Services, you represent that you are at least 18 years of age and legally capable of entering into a binding contract.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. EGC is not liable for any loss or damage arising from your failure to safeguard your account credentials.
3. Submission Process
3.1 Ownership and Right to Submit. By submitting a card, you represent and warrant that you are the lawful owner of the card, or that you have the lawful owner's express authorization to submit it on their behalf, and that you have full authority to enter into this agreement with respect to that card.
3.2 Accurate Information. You are solely responsible for accurately completing all submission forms, card lists, and declared values. EGC is not responsible for delays, errors, misgrading, or loss resulting from inaccurate, incomplete, or illegible information you provide.
3.3 Authenticity and Counterfeit Cards. EGC reserves the right, at its sole discretion, to refuse to grade, to encapsulate without a grade, to permanently retain, or to return unencapsulated any card that EGC believes, in its sole judgment, to be counterfeit, altered, doctored, trimmed, recolored, resurfaced, or otherwise not in its original manufactured state. EGC's identification (or failure to identify) a card as counterfeit or altered is not a guarantee of authenticity and does not create any liability on EGC's part to you or any third party. EGC assumes no liability for submitting a counterfeit or altered card, whether or not it is identified as such during processing.
3.4 Right to Refuse Service. EGC may refuse any submission, at any time and for any reason or no reason, including but not limited to suspected fraud, suspected illegal activity, or cards that do not meet EGC's size, thickness, or condition intake requirements.
4. Fees, Payment, and Refunds
4.1 Fees. Grading fees are set out on our current pricing pages at the time of submission and are subject to change without notice for future submissions.
4.2 Non-Refundable. All grading, encapsulation, and service fees are earned upon EGC's performance of the applicable service (including intake, review, and any grading determination, even a determination not to assign a numeric grade) and are non-refundable, regardless of the grade assigned, the outcome of the submission, or your satisfaction with the result.
4.3 No Guarantee of Grade or Value. EGC makes no representation, warranty, or guarantee, express or implied, regarding the grade any card will receive, the resale value of a card after grading, or the market demand for a card at any grade. Grading is a subjective condition assessment performed by human graders and is inherently subject to variation. A card resubmitted to EGC or submitted to any other grading company may receive a different grade.
4.4 Payment Processing. Payments are processed through third-party payment processors. EGC does not store full payment card details. Your use of a third-party payment processor is subject to that processor's own terms and privacy policy.
5. Shipping and Risk of Loss
5.1 Inbound Shipping. You are solely responsible for packaging and shipping your cards to EGC. EGC strongly recommends using a trackable, insured shipping method. EGC is not responsible for cards lost, stolen, or damaged in transit before they are received and logged into EGC's intake system.
5.2 Outbound Shipping. EGC will use commercially reasonable care in packaging graded cards for return shipment. However, once a package is tendered to a third-party carrier for return shipment, EGC's responsibility for that package ends, and all risk of loss, theft, or damage in transit passes to you. EGC is not an insurer, and any shipping insurance purchased is provided by the carrier or a third-party insurer, not by EGC, and is subject to that party's own terms, exclusions, and claims process.
5.3 Carrier Disputes. Any claim relating to a lost, stolen, delayed, or damaged shipment must be pursued directly against the shipping carrier or applicable insurer. EGC will provide reasonable documentation to support such a claim but has no obligation to compensate you for a carrier's failure to honor a claim.
6. Assumption of Risk
You acknowledge that submitting cards, particularly cards of significant monetary or sentimental value, for grading involves inherent risks, including but not limited to the risk of receiving a lower grade than expected, the risk of loss or damage in shipping, the risk of processing delays, and the risk of clerical or human error. You voluntarily assume all such risks by submitting cards to EGC.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EGC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY GRADING DETERMINATION WILL BE ACCURATE, CONSISTENT, OR ACCEPTED BY ANY THIRD PARTY, INCLUDING BUYERS, MARKETPLACES, OR INSURERS.
8. Limitation of Liability
8.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EGC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL FEES YOU PAID TO EGC FOR THE SPECIFIC SUBMISSION GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE DECLARED VALUE, INSURED VALUE, OR MARKET VALUE OF ANY CARD SUBMITTED, AND REGARDLESS OF WHETHER EGC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Exclusion of Consequential Damages. IN NO EVENT WILL EGC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, LOSS OF COLLECTOR OR MARKET VALUE, OR EMOTIONAL DISTRESS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF EGC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Basis of the Bargain. You acknowledge that the fees charged by EGC reflect and are set in reliance on the limitations of liability set forth in this Section 8, and that these limitations are an essential basis of the agreement between you and EGC.
8.4 Jurisdictional Exceptions. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, EGC's liability will be limited to the smallest extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless EGC, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your submission of a card you did not have the right to submit; (c) your submission of a counterfeit, altered, or misrepresented card; (d) any dispute between you and a third party (including a co-owner, buyer, seller, or shipping carrier) relating to a card you submitted; or (e) your violation of any applicable law.
10. Intellectual Property
All trademarks, service marks, logos, grading labels, holder designs, website content, and grading methodologies used by EGC are the property of EGC or its licensors. Nothing in these Terms grants you any right to use EGC's intellectual property except as necessary to use the Services as intended. You may not reproduce, counterfeit, or imitate EGC's labels, holders, or certification marks.
11. Prohibited Conduct
You agree not to: submit counterfeit, stolen, or fraudulently obtained cards; attempt to tamper with, replicate, or counterfeit EGC's holders or labels; use the Services for any unlawful purpose; attempt to interfere with, disrupt, or gain unauthorized access to EGC's systems; or misrepresent your identity or authority to submit a card.
12. Dispute Resolution and Arbitration
12.1 Agreement to Arbitrate. You and EGC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, that cannot be resolved informally, will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.
12.2 Class Action Waiver. YOU AND EGC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12.3 Arbitration Procedure. Arbitration will be conducted by a single arbitrator under the rules of a recognized arbitration organization, and will take place in the State of Delaware unless you and EGC agree otherwise. The arbitrator's decision will be final and binding, subject only to limited judicial review as provided by applicable arbitration law.
12.4 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to support@egcgrading.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts described in Section 13.
12.5 Severability of Arbitration Clause. If the class action waiver in Section 12.2 is found unenforceable, the remainder of this arbitration agreement will remain in effect, unless a court determines the entire arbitration agreement is unenforceable, in which case Section 13 will govern.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration under Section 12, you and EGC agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
14. Time Limit on Claims
Any claim or cause of action arising out of or related to the Services must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred, to the extent permitted by applicable law.
15. Force Majeure
EGC is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, labor disputes, carrier disruptions, pandemics, or failures of third-party vendors or infrastructure.
16. Modifications to the Services and Terms
EGC may modify, suspend, or discontinue any part of the Services at any time. EGC may revise these Terms from time to time by posting an updated version on our website. Changes are effective when posted, and your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. Material changes will, where practicable, be flagged with a prominent notice on our website.
17. Termination
EGC may suspend or terminate your account or access to the Services at any time, with or without cause or notice. Sections of these Terms that by their nature should survive termination, including but not limited to Sections 6 through 14, will survive.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any order-specific terms presented at checkout, constitute the entire agreement between you and EGC regarding the Services and supersede any prior agreements or understandings.
20. No Waiver
EGC's failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
